MONEYPENNY DESIGNS TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) apply to all logo design, branding, graphic design, website, artwork and printing services provided by Moneypenny Designs (“Designer”) to the client (“Client”).

By engaging Moneypenny Designs, the Client acknowledges and agrees to the following terms:

1. Scope of Work
   Moneypenny Designs agrees to provide design, branding, artwork, website and/or printing services based on the project specifications discussed and approved by the Client. All work created is custom designed specifically for the Client unless otherwise stated.

2. Quotes and Acceptance
   Quotes provided by Moneypenny Designs are valid for 14 days unless otherwise stated. Acceptance of a quote, payment of a deposit, or instruction to commence work constitutes acceptance of these Terms and Conditions.

3. Deposits and Payments
   A deposit may be required before commencement of any project. Final files, artwork, websites or printed material will not be released until full payment has been received. Invoices are payable within the agreed trading terms outlined on the invoice. Late payments may result in delays to project completion or release of files.

4. Copyright Ownership
   Upon full payment of the agreed project fees, the Client receives copyright ownership of the final approved logo design and final supplied artwork files specifically prepared for approved use. Until full payment is received, all copyright and ownership remains with Moneypenny Designs. Moneypenny Designs retains the right to display completed work within its portfolio, website, social media and promotional material unless otherwise agreed in writing.

5. Working Files and Source Files
   Editable working/source files are not included as part of the standard project deliverables unless agreed upon in writing prior to commencement of the project. This includes, but is not limited to, Adobe Illustrator, InDesign, Photoshop, layered artwork files, production files, linked assets, concepts, font files and other editable working documents. Final supplied artwork files will be provided in suitable formats for approved print and digital use. If the Client requests editable working/source files, preparation and release of these files may incur an additional fee determined by Moneypenny Designs.

6. Fonts and Third-Party Licensing
   Some projects may include commercially licensed fonts, stock imagery or third-party assets which may require separate licensing or purchase by the Client. Moneypenny Designs is not responsible for supplying ongoing font licenses or third-party software subscriptions unless specifically included in writing.

7. Design Revisions
   Projects include the number of revisions outlined in the approved quote or proposal. Additional revisions, design changes, redraws or alterations outside the original project scope may incur additional charges. Any major change in project direction after approval of concepts may be treated as a new project or additional work.

8. Client Responsibilities
   The Client agrees to provide accurate information, required content, approvals and feedback within reasonable timeframes. Delays in supplying content, approvals or requested material may impact project timelines and delivery dates. The Client is responsible for ensuring all supplied text, spelling, contact details, pricing and content are correct prior to approval for print, website launch or publication.

9. Proofing and Printing
   Final artwork approvals are the responsibility of the Client. Moneypenny Designs is not liable for spelling mistakes, grammatical errors, incorrect information, omissions or approval oversights once artwork has been approved by the Client. While every effort is made to ensure colour accuracy, printed colours may vary slightly due to screen settings, paper stock, printing processes and supplier variations. Moneypenny Designs is not responsible for minor colour variations or manufacturer inconsistencies in printed products.

10. Printing and Production Timelines
    Estimated print and production turnaround times are provided as a guide only and may vary depending on supplier schedules, shipping delays, public holidays or circumstances beyond reasonable control. Moneypenny Designs is not liable for delays caused by third-party printers, couriers, hosting providers or other external suppliers.

11. Website Services
    Where website services are provided, the Client is responsible for ongoing third-party costs including domain names, hosting, email services, premium subscriptions or platform fees unless otherwise stated. Once website ownership or access has been transferred to the Client, ongoing maintenance, updates and third-party account management become the Client’s responsibility unless an ongoing maintenance agreement is in place.

12. Cancellation and Refunds
    If a project is cancelled after work has commenced, Moneypenny Designs reserves the right to invoice for all work completed up to the cancellation date. Deposits are non-refundable once work has commenced. No refunds will be provided once final artwork has been approved or final files supplied.

13. Indemnification
    The Client agrees to indemnify and hold harmless Moneypenny Designs from any claims, damages, losses or expenses arising from the use of supplied artwork, branding, websites or printed material. Where the Client supplies images, logos, fonts, trademarks or other material, the Client warrants they have the legal right to use those materials. Moneypenny Designs accepts no responsibility for trademark conflicts, copyright disputes or similarities to existing designs that may arise after project completion.

14. Limitation of Liability
    Moneypenny Designs shall not be liable for any indirect, incidental or consequential damages arising from the use or inability to use any supplied designs, artwork, websites or printed products.

15. Entire Agreement
    These Terms and Conditions constitute the entire agreement between Moneypenny Designs and the Client and supersede any prior discussions or agreements, whether written or verbal. By engaging Moneypenny Designs, the Client acknowledges they have read, understood and agreed to these Terms and Conditions.
